Leveraging Ceramic Bio's rich experience in drug screening, quality control, and supply chain management, the platform aims to promote and share compounds prepared by research groups, facilitating the sharing of compound resources and the discovery of their value. The platform provides a more convenient way for chemists and research institutions worldwide to access the compounds they need. Simultaneously, it serves as a platform for research groups to showcase and promote their high-quality compounds, contributing to the development of more scientific research outcomes and business opportunities, thus making a significant contribution to the global biomedical research.

On this platform, chemists and research institutions can browse through a diverse inventory of compounds. They can also meet their specific needs by utilizing features such as online search, purchase, and customization of compounds. Additionally, the platform offers robust analytical and data processing capabilities, enabling chemists and research institutions to better understand the properties and characteristics of compounds. This aids them in designing and conducting research more effectively.

 

1. Definition:In this business, entities or individuals possessing idle compound resources are regarded as suppliers. They transfer the right to use these resources to the Topscience Compound Sharing Platform. The platform, after organizing information and conducting quality checks on the products, centrally releases compound resources for sale to demand-side participants. Upon the completion of compound sales, suppliers enjoy the corresponding revenue from the sales.

 

2. Requirements for Idle Compound Resources:

Solid organic compounds with molecular weights between 175 and 800 are accepted. Suppliers need to provide basic information such as compound structure, molecular formula, molecular weight, CAS number, and characterization spectra like NMR and LCMS.
Types of Compounds:

Known Active Compounds: Compounds with documented activity in relevant literature. Suppliers need to provide information on compound activity and synthesis methods.

Monomeric Natural Product Compounds: Compounds that are either isolated and purified or synthetically derived from natural sources. Suppliers need to provide information on the compound's source and acquisition method.

Other Compounds such as heterocyclic and fused (hetero) cyclic compounds, saturated non-aromatic heterocycles with two or more substituent groups, bridged bicyclic compounds (composed entirely of carbon atoms or containing oxygen, sulfur, nitrogen atoms), and those with two or more substituent groups.

Compounds not meeting the requirements: Liquid products, mixtures, unstable compounds, polymers, inorganic compounds, hazardous substances, and any other compounds deemed unsuitable for sharing by the platform.

 

3. Compound Sharing Mode and Process

Information and Physical Compound Available:
The supplier provides product information and the actual compound to the platform. The platform lists and centrally sells the compound. After an order is placed, the platform sends the product to the buyer. After-sales issues are jointly addressed by the supplier and the platform, with a response within 12 hours of the issue arising.
Information Available, No Physical Compound:
The supplier provides compound information and delivery timelines. The platform lists these as futures products and centrally sells them. After an order is placed, the platform prioritizes initiating a purchase request with the supplier, who should provide the actual compound within the delivery timeline.
Process:
1. The supplier expresses the intention to share and fills out the Idle Compound Information Registration Form, designating a dedicated contact person.
2. The platform confirms the list of shareable compounds based on the registration form, designates a person to contact the supplier, and verifies the accuracy of product information, pricing rules, and settlement rules.
3. The supplier sends physical compounds with accompanying product information. The platform, after verification, securely stores the compounds.
4. The platform lists the compounds on the website based on the actual product information and promotes them.
5. Orders are generated and settled.

 

4. Rights and Responsibilities

Supplier's Rights and Responsibilities:
Rights:

1. The existing intellectual property rights related to the compounds belong to the supplier.
2. The supplier is entitled to a share of the sales revenue from the compounds, with specific expectations to be filled in the Idle Compound Information Registration Form.

Responsibilities:
1. Ensure the accuracy of compound information and product quality.
2. Must not conceal situations such as patent disputes or hazardous materials that make the compounds unsellable. In case of such occurrences, the platform will hold the supplier accountable.
3. In the event of after-sales issues arising from compound orders, a designated person must respond within 12 hours.
Platform's Rights and Responsibilities:
Rights:

1. The platform has the right to sell and set prices for the products. Sending compounds to the platform is considered an agreement to transfer all sales rights to the platform. The platform independently determines product pricing based on the supplier's sales revenue costs, operational costs (including but not limited to quality inspection fees, warehouse fees, packaging fees, transportation fees, taxes, sales commissions, technical support, etc.), and market conditions.
2. The platform has the right to decide whether to list molecules for sale and the method of sale, depending on the completeness of the molecule's information and the likelihood of successful sales.
Responsibilities:

1. Maintain confidentiality regarding the source and sales channels of compounds.
2. The platform must securely store the relevant compounds to ensure the stability of product quality.

 

The final interpretation rights belong to the Topscience Safety Operations Team.
